Lingomir for Teachers — Terms of Service

Lingomir for Teachers — operated by HomeDea LLC

Version 2.2 · Last updated: October 23, 2026

These Terms govern the use of Lingomir for Teachers (the "Platform") — the part of Lingomir at https://lingomir.com where teachers and language schools run their classes: the schedule, lessons in a call with a shared lesson and a whiteboard, lesson reviews, messages and materials. They are an agreement between HomeDea LLC, a limited liability company registered in the State of Wyoming, United States of America ("the Operator", "we", "us"), and the person or organisation that opens a cabinet on the Platform (the "Customer", "you").

The Data Processing Agreement forms part of these Terms, and so does the Online Payments Addendum and Payout Rules once the Customer takes payments online. Everything not covered here is governed by the general Terms of Service of Lingomir; where the two conflict on the Platform, these Terms prevail.

By opening a cabinet, accepting an invitation to manage one, or using the Platform for an organisation, you confirm that you accept these Terms on behalf of the Customer and that you are authorised to do so.

1. Who the Platform is for

The Platform is a professional tool. The Customer is a teacher working independently (as a sole trader, freelancer or self-employed person) or an organisation — a language school or a network of schools. The Customer uses the Platform in the course of its business and is not a consumer for the purposes of these Terms.

The Customer's students use the Platform through their own Lingomir accounts, on the general Terms of Service and the Privacy Policy. Students must be at least 16 years old; the Platform does not yet offer accounts for younger learners or their parents.

2. The cabinet, the organisation and its people

2.1 Organisation and roles

The Customer's cabinet is an organisation: a personal one for a single teacher, a school, or a network with several schools. Inside it the Customer creates classes (one-to-one lessons, groups, courses) and gives people roles: owner, administrator, school administrator, methodologist, teacher, assistant, student. Each role allows only what it names; the Platform shows the permissions of each role in the cabinet. In a network, a school administrator acts within their school.

The Customer may also compose roles of its own from the permissions the Platform lists (for example an accountant or a registrar) and give them at the places each allows. A role is composed and given only within what its giver may do, a role that lets someone see recordings and transcripts is given only at a class, and nobody but the owner gives themselves more than they already hold. The Customer is responsible for the roles it composes and gives.

2.2 The owner

Each organisation has exactly one owner, who acts for the Customer, may change any setting and may hand ownership to another person in the organisation. The owner is responsible for who is given which role. The owner and administrators do not see lesson recordings or transcripts — only the teachers and assistants of the class do, and only the published reviews are visible more widely (see the Data Processing Agreement).

2.3 Invitations

People join by invitation sent from the cabinet (by email or by a link). The Customer invites only people it has a lawful reason to invite, and keeps invitation links to itself: anyone holding a link can use it until it expires, is used up or is revoked.

2.4 Accounts and security

Everyone acts under their own Lingomir account; accounts are personal and may not be shared. The Customer makes sure its staff keep their sign-in details safe and tells us at support@lingomir.com without delay about any suspected unauthorised access.

The Customer may require two-factor sign-in (a code from an authenticator app) for its owners and administrators or its whole team, and sign-in through its company account (Google Workspace, Microsoft) for addresses in domains it has proved it holds — optionally as the only way in. Where it does, the Customer is responsible for its identity provider and the accounts in it, and for ending the access of people who leave; an account that turned its own second factor on is asked for it after a company sign-in too. Switching «only through the company account» on ends the sessions its team in those domains had. The first sign-in through the company account at an address removes a password set on that address before it was proven (protection against an account opened in advance by someone else); the person is told by email and may set a new password at any time.

2.5 Support access

Our support enters the Customer's organisation only when the owner or an administrator grants temporary access in the cabinet (from 1 to 14 days, which they may end at any time), to read what is needed to answer the Customer's request — or, without a grant, to investigate a security incident or where the law requires it. Support never changes the Customer's data, and every entry and what was opened is written to the organisation's journal.

2.6 The journal

The Platform keeps a journal of significant actions in the organisation — who did what and when, including through the API and by our support — which the owner and administrators can read and export. Addresses of the Customer's own systems appear in it without their query strings.

3. What the Platform provides

Features may be added, changed or removed as the Platform develops; we will not remove a feature the Customer depends on without reasonable notice, unless law or security requires it. Some features depend on third-party infrastructure (for example the media server for calls) and may be unavailable while it is.

4. Artificial intelligence

The Platform uses artificial intelligence ("AI") for transcription, for the draft marks and reviews, and for hints to the teacher during a lesson. AI output can be wrong: a word may be misheard, a mark may be mistaken, an explanation may be incomplete.

See Section 8 of the general Terms for the AI disclaimer, which applies here as well.

5. Recording and transcription of lessons

Lessons are transcribed only for participants who have agreed, each for themselves, before entering the call (Lesson recording and transcription). A participant may decline or withdraw at any time; withdrawal takes effect immediately and nothing more of their voice is captured. Video is never recorded.

5.2 The Customer's duties

The Customer:

5.3 Retention

Recordings of voices are deleted 30 days after the lesson. For a lesson held elsewhere, the raw lines of every speaker are deleted as soon as the teacher has said who spoke, and the audio with the rest of the raw transcript 7 days after the recording at the latest. Transcripts and reviews are kept while the class exists in the organisation and are deleted with the organisation's data at the end of the Agreement (Section 14), except that a published review remains available to its student in their Lingomir account.

5.4 Lessons held outside the Platform

For a lesson in Zoom, Google Meet or Microsoft Teams, the teacher may send a meeting bot named «Lingomir · recording for the review» (in the organisation's language) that joins at the lesson's start, is visible to everyone in the meeting, writes in the meeting's chat as it joins that it records the audio for the review and that anyone who does not agree should tell the teacher, and records the meeting's audio; for a lesson in a classroom, the teacher may upload its recording. The Platform then tells the speakers apart, the teacher says who is who, and the lines of a student are used only with that student's consent for that lesson, asked in the Platform; the lines of anyone else (guests, people not named) are dropped. The Customer:

The provider of the meeting bot deletes its copy once the transcript has reached us.

6. Students' learning belongs to the students

Class data — rosters, schedules, attendance, chats, materials, transcripts and reviews — is the Customer's and is processed by us for the Customer under the Data Processing Agreement.

A student's own learning is theirs. When a teacher publishes a review, its new words go to the student's «My words» and its mistakes to the journal Lingomir's AI teacher reads, in the student's own Lingomir account. These stay with the student when they leave the class or the organisation, as does their access to the reviews published for them while the organisation's cabinet remains open.

7. Content

7.1 The Customer's content

Lesson plans, materials, messages and reviews written by the Customer's people remain the Customer's (or its authors'). The Customer grants us a non-exclusive, worldwide licence to host, store, copy, process and display this content only as needed to provide the Platform to the Customer and its students, for the duration of the Agreement and the retention described in the Data Processing Agreement. The Customer confirms it has the rights needed to use and share what it uploads.

7.2 Lingomir content

Lingomir's lessons, exercises, word sets, clips and other content remain ours. The Customer may use them inside the Platform — in its lessons, materials, assignments and reviews — for as long as the Agreement lasts. Paid Lingomir content that a teacher includes in a lesson, an assignment or the class's materials is open to the class's students inside that context without a Lingomir Premium subscription of their own. The Customer may not copy Lingomir content out of the Platform, resell it, or make it available outside its classes.

8. Acceptable use

The Customer and its people may not use the Platform to break the law; to harass, threaten or discriminate against anyone; to share content that is unlawful, hateful, sexual involving minors, or infringes others' rights; to collect data about students for purposes unrelated to teaching them; to send unsolicited advertising; to interfere with the Platform's security or other customers; or to circumvent limits, roles or consent. Section 9 of the general Terms applies in full. We may remove content or suspend access that breaks this Section (Section 14).

9. Fees

9.1 The beta

The Platform is in its beta phase: it works and is developed actively, so features may change; the Customer's data is kept through such changes. During the beta the fees in Section 9.2 apply at a beta price, shown in the cabinet («Billing»): at the start of the beta EUR 1.50 per active student per month instead of the regular EUR 3, for the first 50 Customers, for their first twelve months. The first month in which a Customer is billed is free. Other terms may be agreed with us in writing (by email).

9.2 Paid use

Fees are charged per active student per month — a student who had a lesson or a message in the Customer's class that month — at the price shown in the price list in the cabinet («Billing»); a month without active students costs nothing. Prices include any VAT or sales tax. Each month's fee is paid in the cabinet («Billing») and sold through Link (Link, LLC, a Stripe company) as the merchant of record: Link takes the payment, charges and pays the tax due, sends the receipt and answers questions about the transaction, under its own terms shown at checkout; we provide the Platform. The card statement shows the charge as «LINK.COM*» followed by our name. Where the Customer's country of tax registration (its billing details) is one where Link does not handle the tax, we charge no fee for now and say so in the cabinet; we will give at least 30 days' notice before that changes. Price changes take effect at the start of the next billing period after at least 30 days' notice.

9.3 The Customer's own fees

The Customer sets its own fees and collects them itself, or, where online payment is available for the country of its legal details (it is not, for example, for Serbia or Montenegro), lets its students pay online through its own Stripe account under the Online Payments Addendum, for which we charge the commission stated there. Elsewhere students pay the Customer directly, and the Customer records their payments in the cabinet. We are not a party to the Customer's agreements with its students.

9.4 Tax reporting (DAC7)

Under Council Directive (EU) 2021/514 (DAC7), HomeDea LLC reports each year to Ireland's Revenue Commissioners, where it is registered for DAC7, on Customers resident in the European Union who sell lessons through the Platform: the Customer's name, address, tax identification number (or, without one, place of birth), date of birth or business registration number, VAT number, and per quarter the amounts paid online or recorded in the cabinet, the number of payments and our fees. Revenue passes this to the tax authority of the Customer's country. A Customer resident in the EU gives these details in the cabinet («Billing» → «Tax details (DAC7)») when asked and keeps them correct; we check the tax number with the European Commission's TIN service. If they are still missing 60 days after our second written reminder, the law requires us to stop the Customer taking new bookings, online payments and new students through the Platform (lessons with existing students and all data keep working) until they are given. By 31 January we tell each reported Customer what we reported for the previous year. We keep these details, encrypted, for six years after the year they relate to, as Irish law requires.

10. Integrations

10.1 API keys

The owner or an administrator may make API keys for the Customer's own systems (a CRM, accounting, a website), each with the scopes it needs. A key acts as the person who made it, never beyond what they may do, and stops working when it is revoked, expires, its maker no longer runs the organisation's settings, or the organisation is closed. The Customer keeps keys secret and revokes a key it suspects has leaked. Keys are limited to 120 requests a minute each and 20,000 a day per organisation, unless agreed otherwise.

10.2 Webhooks

The Customer may have the Platform send webhooks — signed notices of events such as a lesson scheduled or a student enrolled — to addresses of its own systems (HTTPS, public addresses only). A webhook failing for three days is switched off and the owner is told.

10.3 Data taken out

Data the Customer takes out of the Platform through the API or receives by webhook is processed in the Customer's own systems, under its own responsibility as controller; the Data Processing Agreement covers it until it leaves the Platform. We may revoke a key or switch off a webhook that endangers the Platform, its security or other customers, telling the owner.

11. Brand and own domain

The Customer may show its logo and colour on its pages, in its letters and in its students' space, and serve its pages at its own domain. The Customer confirms it has the rights to the name, logo and domain it uses. To verify a domain it publishes a TXT record we give and points the domain at us; we then obtain and renew a TLS certificate for it (certificates are recorded in public Certificate Transparency logs). A domain whose records disappear stops being served; another organisation cannot take a domain the Customer has verified.

12. «Find a teacher»

12.1 Who appears

A teacher appears in the catalogue only when we have verified them and their public page is published, and leaves it when either stops being true. Verification checks who the teacher is and what they state about their teaching; it is not a guarantee of the quality of their lessons.

12.2 What is shown

The teacher's name and photo, headline, the languages they explain in and their level, online or in person, experience, lessons taught on the Platform, the rating and number of their students' reviews on their page, the lowest price per lesson from their formats and packages, and when they are next free. The teacher is responsible for what their page says being true and current.

12.3 How the catalogue is ordered

By default («recommended») by the rating, weighted by how many reviews it rests on, then by lessons taught. The rating is weighted by the number of reviews because the opinion of many students says more than that of a few; lessons taught come next because they show experience on the Platform. A learner may order by price or by the soonest free time, and filter by language, format and words. No one can pay for a higher place, and the fees or commission a teacher pays us do not affect the order. Teachers we work with ourselves, if they appear in the catalogue, are ordered and shown under the same rules.

12.4 Removal

We may remove or hide a teacher's listing that breaks these Terms or the general Terms, misleads learners, or whose verification lapses, telling the teacher why at the latest when it takes effect. The teacher may answer and ask us to review the decision at support@lingomir.com; we reply within a reasonable time and restore the listing if the reason has gone.

12.5 Changes and data

Changes to this Section 12 are announced to the teacher by email at least 30 days before they take effect; a teacher who disagrees may leave the catalogue at any time by unpublishing their page. What a learner sends to a teacher through the catalogue (a booking, a message) reaches that teacher as described in the Data Processing Agreement; we keep statistics of the catalogue in aggregate to improve it and never give one teacher's data to another.

13. Availability and support

We work to keep the Platform available and secure but do not guarantee uninterrupted operation, in particular during the beta. Planned maintenance is announced where practical. Support is provided by email at support@lingomir.com in English or Russian, on working days 10:00–18:00 (Central European Time), usually within one working day.

14. Term, suspension and termination

14.1 Term

The Agreement starts when the Customer opens a cabinet and runs until terminated.

14.2 Termination by the Customer

The Customer may close its organisation at any time in the cabinet or by writing to support@lingomir.com.

14.3 Termination or suspension by us

We may terminate the Agreement with 30 days' notice for any reason, stating it. We may suspend the Customer's access, or a part of it such as its catalogue listing, immediately if the Customer seriously breaches these Terms (in particular Sections 5 and 8), fails to pay undisputed fees within 14 days after a reminder, or if required by law, telling the Customer why at the latest when the suspension takes effect. We terminate without notice only where the law requires it, for fraud or another breach the law treats as an imperative reason, or after repeated breaches of these Terms. Where practical we first give the Customer the chance to remedy the breach.

14.4 After the end

For 30 days after the end, the owner may export the organisation's data (rosters, schedule, materials, published reviews). After that we delete the organisation's data as described in the Data Processing Agreement. Students keep their Lingomir accounts and their own learning (Section 6). Sections 6, 7.1, 15, 16 and 17 survive the end of the Agreement, and the Online Payments Addendum for payments already made.

15. Warranties and liability

15.1

The Platform is provided "as is" and "as available". We do not warrant that it will meet the Customer's particular needs, be uninterrupted or error-free, or that AI output is accurate.

15.2

Neither party is liable to the other for indirect or consequential loss, loss of profit, revenue or goodwill.

15.3

Each party's total liability under the Agreement in any 12 months is limited to the fees the Customer paid us in those 12 months, or USD 100 if it paid none.

15.4

Nothing in these Terms limits liability that cannot be limited by law, including for wilful misconduct or gross negligence, or the Customer's obligations under Sections 5 and 8.

15.5

The Customer indemnifies us against third-party claims arising from content its people upload or from its breach of Sections 5 or 8.

16. Confidentiality

Each party keeps confidential the other's non-public business information it receives through the Platform and uses it only to perform the Agreement. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law rules. The parties will first try to settle any dispute by negotiation in good faith; failing that, the courts of the State of Wyoming have jurisdiction, unless mandatory law gives the Customer the right to bring proceedings elsewhere.
