Lingomir for Teachers — Online Payments Addendum and Payout Rules
Lingomir for Teachers — operated by HomeDea LLC
Version 1.0 · Last updated: October 23, 2026
This Addendum forms part of the Lingomir for Teachers Terms of Service (the "Agreement") and applies when the Customer connects a payment account and lets its students pay online on the Platform. Capitalised terms not defined here have the meanings given in the Agreement. Where this Addendum and the Agreement conflict on online payments, this Addendum prevails.
1. How online payment works
1.1 Online payments run on Stripe Connect. The Customer opens its own Stripe Express account from the cabinet («Settings» → «Online payment»), on Stripe's own pages, and accepts Stripe's terms for it — the Stripe Connected Account Agreement and the Stripe Services Agreement — directly with Stripe. Stripe verifies the Customer's identity and bank account under the rules of the Customer's country and may ask for more at any time.
1.2 The account is opened in the name and in the country of the Customer's legal details («Billing details» in the cabinet: its legal name, its address, the country where it — or, for a sole trader, the teacher — is established for tax, and its tax number). That country must be one where Stripe opens Express accounts for our platform (listed in the cabinet). Opening the account, the Customer's representative confirms that it is the Customer's own account, not anyone else's; that the Customer is lawfully established in that country and able to receive payouts there; and that the taxes and currency rules of the country where the Customer lives and works are its own responsibility. The confirmation is written to the organisation's journal.
1.3 Only the Customer's representative who manages the organisation's money (the owner, or a person given the right to manage billing) may open, manage or disconnect the account. Each such action is written to the organisation's journal.
1.4 We do not hold the Customer's money. A student's payment is charged by Stripe in the Customer's name and settled to the Customer's Stripe balance; we receive only our commission (Section 4). We are not a bank, a payment institution or an escrow agent, and we do not act as the Customer's collecting agent.
1.5 In the European Union the Customer gives its VAT number, which Stripe checks against the EU's VIES system. Online payment opens once VIES does not reject the number, and new payments pause while it does. Our commission is then a service to a business, taxed by the Customer under the reverse-charge procedure (Section 4.4).
1.6 Countries Stripe does not serve, such as Serbia. A Customer living or teaching there may take payments online only through a business of its own established in a country Stripe serves, in that business's name and with its legal details. We do not advise on taxes, currency rules or where to establish a business. Without online payment, the Customer records the payments it receives by hand in the student's balance.
2. The Customer is the seller
2.1 The contract for lessons is between the Customer and its student. The Customer is the merchant: its name appears on the student's card statement and on Stripe's receipt sent to the student.
2.2 The Customer is responsible, towards its students and the authorities, for:
- its prices, packages, their validity and what they include, as shown on the Platform;
- information it must give students before they pay, cancellation and withdrawal rights, its refund policy, and the quality of its lessons;
- invoices or fiscal receipts its country requires beyond Stripe's receipt;
- all taxes on its sales (VAT or sales tax, income tax and the like) and registrations for them. We do not calculate or collect tax for the Customer; Stripe Tax is not switched on by us, and a Customer that needs it configures it in its own Stripe account.
2.3 The Customer offers for online payment only lessons and packages it actually provides on the Platform, at the prices shown, and never uses online payment to move money for any other purpose (including paying itself, splitting a payment or accepting payment for a third party).
2.4 What the student is shown and given. On the Customer's behalf, before the student pays, the Platform shows the Customer's legal name and country as the seller, says that Lingomir runs the platform and is not a party to the purchase, shows the Customer's refund policy (Section 6.1), and asks the student to confirm that they want the lessons to start at once and that, if they withdraw within 14 days, they pay for the lessons already held. Payment is possible only with that confirmation. After the payment the Platform sends the student, by email, a confirmation with the seller, the package, the amount, the refund policy and their confirmation, and keeps a copy with the payment. This helps the Customer meet its duties to inform its students; it does not take them over (Section 2.2).
3. What a student can pay for
3.1 A student who is a member of the Customer's organisation can pay online for the Customer's public packages priced at least at Stripe's smallest charge (EUR 0.50 or its equivalent), while the Customer's account accepts charges.
3.2 The student pays on Stripe's checkout page, in the package's currency. A checkout stays open for 23 hours, after which it expires and nothing is charged.
3.3 When Stripe confirms the payment, the package is sold to the student and the payment recorded in the student's balance on the Platform (its lessons become available to book or attend). If Stripe's confirmation is delayed, the balance follows when it arrives; a payment is never recorded twice however often Stripe repeats its confirmation.
4. Commission and costs
4.1 For each successful payment we charge a commission of 5% of the amount paid (rounded down to the smallest currency unit), unless other terms were agreed with the Customer in writing. The commission is taken by Stripe at the moment of payment as our application fee; the rest is the Customer's.
4.2 Card-processing fees charged by Stripe for the payment, and Stripe's fees for running the Customer's Express account and its payouts, are borne by us out of the commission. Currency conversion, where the Customer's payout currency differs from the package's, is made by Stripe at its rates and under its terms.
4.3 We may change the commission for future payments with at least 30 days' notice by email to the owner. The commission in force when a payment is made applies to it.
4.4 Our commission is a fee for the Platform's service to the Customer. For each month in which commission was charged or returned, HomeDea LLC issues to the Customer's legal details (name, address, country and tax number from «Billing details») a numbered invoice of the commission charged net of what refunds and lost disputes returned, or a credit note when they returned more, by the 15th of the following month. The invoice is issued electronically: it is available as a PDF in the cabinet («Payments» → «Online payments» → «Commission invoices»), and the owner is told by email; the Customer accepts invoices in this form. The commission on it has already been deducted from the payments, so nothing is left to pay. We are established in the United States and charge no VAT or sales tax on the commission. For a Customer established in the European Union, VAT on it is due from the Customer under the reverse-charge procedure (Article 196 of Council Directive 2006/112/EC), and the invoice says so with the Customer's VAT number; elsewhere the Customer accounts for any tax due on it under the law of its country. Between invoices the cabinet shows the month's commissions as they are recorded.
5. Payout rules
5.1 Payouts are made by Stripe, from the Customer's Stripe balance to the bank account the Customer gave Stripe, on the schedule set in the Customer's Stripe account. Stripe's standard schedule is automatic; the first payout of a new account is usually made 7 to 14 days after the first payment, depending on the country, and later payouts follow Stripe's rolling schedule.
5.2 We do not decide, delay or speed up payouts. The Customer sees its balance, payments and payouts in its Stripe Express dashboard, reached from the cabinet («Stripe dashboard»).
5.3 Stripe may hold, delay or reverse payouts under its terms — for example while it verifies the account, when the balance is negative because of refunds or disputes, or when it sees a risk. Questions about a payout are answered by Stripe; we help the Customer reach the right answer where we can.
5.4 If the Customer's Stripe balance becomes negative (refunds or lost disputes larger than what is left on it), Stripe recovers the difference from future payments or the Customer's bank account under its terms.
6. Refunds
6.1 The Customer decides refunds to its students under its own refund policy and the law that protects them. It refunds from the cabinet («Payments» → «Online payments» → the payment → «Refund»), whole or in part, or from its Stripe dashboard; a refund made in the dashboard is recorded on the Platform too. If the Customer has not written its own refund policy in the cabinet («Settings» → «Online payment»), the standard policy applies: the student may withdraw within 14 days of paying, without giving a reason, by writing to the Customer, and gets back the price of the lessons not yet held, the lessons already held being paid for in proportion; after 14 days, unused lessons are refunded at the Customer's discretion. The Customer's own policy may not give its students less than the law that protects them. A student whose interface is in English reads the Customer's English text; where the Customer wrote none, the standard policy applies to that student.
6.2 A refund is returned to the student's card by Stripe. The amount refunded is taken back from the Customer's account, and our commission on the refunded part is returned in proportion. Stripe does not return its card-processing fee on a refund; that fee stays with us.
6.3 When the whole of what is left is refunded, the Customer may also take the package back: its sale is reversed in the student's balance, and lessons already held from it then show as owed. A partial refund leaves the package as it is.
6.4 A refund cannot exceed what was paid and not yet refunded. While a payment is disputed (Section 7) it cannot be refunded.
7. Disputes (chargebacks)
7.1 A student's bank may dispute a payment. The payment is then marked as disputed on the Platform and in the journal, and refunds wait until the bank decides.
7.2 Because the charge is made through our platform, Stripe addresses the dispute to us. We respond with the evidence the Customer gives us (for example the booking, the attendance and the messages with the student), and the Customer gives us such evidence promptly when asked — normally within 5 working days. If it does not come in time, we respond with what we have, and the outcome remains the Customer's (Section 7.3).
7.3 If the dispute is won, the payment stands as it was. If it is lost, the disputed amount goes back to the student: it is taken back from the Customer's account and recorded on the Platform as a refund. Stripe's fee for the dispute itself is borne by us, and no commission is kept on the disputed amount.
7.4 If the Customer's disputes become frequent, or point to a breach of Section 2.3, we may suspend online payments for the Customer (Section 9).
8. Records
The Platform keeps a record of each online payment — the package, the amount, the commission, the status, refunds and disputes — in the organisation's payments list and in the student's balance, and writes every refund, dispute and change of the account to the organisation's journal. The owner may export them with the organisation's reports. Stripe keeps its own records of the Customer's account.
9. Suspension and the end of online payments
9.1 The Customer may disconnect its Stripe account at any time from its Stripe dashboard; online payment then stops for its organisation. Payments already made, their refunds and disputes continue to be handled under this Addendum.
9.2 We may suspend online payments for the Customer, with notice where practical, if Stripe asks us to or stops serving its account, if the Customer breaches Section 2.3, if its disputes or refunds suggest fraud or misuse, or if the law requires it. Suspension does not affect the rest of the Agreement.
9.3 When the Agreement ends, online payments stop. Refunds of payments already made remain possible from the Customer's Stripe dashboard.
10. Data
For online payments, Stripe processes card and identity data as an independent controller under its own privacy policy; we never see or store card numbers. We receive and keep for the Customer, under the Data Processing Agreement, the record of each payment described in Section 8, and pass to Stripe the student's email address so that Stripe can send the receipt.
11. Liability
11.1 We are not responsible for Stripe's acts or omissions, for decisions Stripe takes about the Customer's account, or for payouts Stripe holds or delays.
11.2 The Customer indemnifies us against claims of its students or authorities arising from its sales, its taxes, its refund decisions and its breach of Section 2, and against amounts Stripe recovers from us because of the Customer's payments that cannot be recovered from the Customer's account.
11.3 Section 12 of the Agreement otherwise applies.
